secondary offers, takeovers and all other transactions and issues
arising from being a quoted company.
Our highly regarded Equity Capital Markets team is experienced in
all types of quoted company work involving AIM and the Main Market
of the London Stock Exchange. From our offices outside of the
UK, in Germany, France and Spain, we are also able to provide a
similar breadth of advice in those jurisdictions.
We advise companies, nominated advisers, brokers, sponsors and
underwriters.
We have extensive IPO and secondary fundraising experience with a
specific focus on AIM and small and mid-cap issuers on the Main
Market. We have advised on some of the largest IPOs in the
history of AIM including the AIM IPO of New Star Asset Management
Group PLC (with a market capitalisation of £704 million on
admission).
Our ECM team is also highly experienced in advising on takeovers of
publicly quoted companies. We advise target companies and
their boards, buyers and professional advisors and management teams
on public to private transactions. Our experience includes advising
on traditional offers and schemes of arrangement.
We act for publicly traded companies across a range of sectors,
including the firm's core Media, Technology and Real Estate
sectors, providing them with day to day advice on their regulatory
obligations. This includes advising on ongoing regulatory matters
and also on transactions falling within class and related party
tests under the UKLA Listing Rules and the AIM Rules for
Companies.
In an era where many companies are considering whether a public
quotation is in the best interests of their shareholders, we have
also been actively working with companies who have chosen to delist
from the public markets. We have extensive recent experience
in offering practical and pragmatic advice to clients on making the

Advised Investec Bank plc in its capacity as financial adviser to
SDL plc in its offer for Main Market listed Alterian plc.
Advised CNH Bidco Limited, a MBO vehicle backed by private equity
funds managed by HarbourVest Partners, on its £34.8 million
recommended public offer for Parseq PLC, the AIM quoted end to end
service provider in payments, applications processing and data
analytics.
Advised OFI Private Equity Capital, a French investment company
listed on NYSE Euronext Paris, in respect of a tender offer on all
of its publicly held shares and share warrants made by Eurazeo, a
European Euronext-listed investment company.
Advised Merchant Securities Limited, in its capacity as nominated
adviser and broker, on the admission to AIM of Music Festivals plc
and its related placing of shares and convertible loan notes.
Advised Winterflood Securities in their capacity as sponsor and
placing agent to investment trust, JPMorgan Global Emerging Income
Trusts Plc, on its IPO and listing on the Main Market and in
relation to its further fund raisings through secondary
offers.
Advised MVM Life Science Partners LLP and Abingworth LLP and their
respective investment funds, venture capital investors in the life
sciences industry, on their subscription for shares in Lombard
Medical Technologies Limited, an AIM quoted medical technology
developer as part of a secondary fundraising by Lombard.
Advised long-standing client GSW Immobilien AG, a Berlin based
housing company, in relation to its EUR 468m (GBP 408m) IPO at
Frankfurt Stock Exchange Prime Standard.
Advised Creston plc, the Main Market listed marketing insight and
communications group, in relation to the Class 1 acquisition of the
US healthcare public relations business of Cooney/Waters Group,
Inc. and the US healthcare advocacy business of its subsidiary
Alembic Health Communications Inc and separately on Creston's Class
1 sale of its advertising business, DLKW Group, to Lowe and
Partners.
Advised Main Market listed Imagination Technologies Group plc, a
leading multimedia, communications and embedded processor
technology company, in relation to a placing of approximately 5% of
its ordinary share capital conducted through an accelerated
bookbuilding process and raising approximately £37.8 million.
Advised Chrysalis PLC, the formerly Main Market listed independent
music publishing group, on its recommended sale to a subsidiary of
BMG, a joint venture between Bertelsmann and an affiliate of
Kohlberg Kravis Roberts & Co. L.P., a deal that valued the
entire issued and to be issued ordinary share capital of Chrysalis
at approximately £107.4 million, and which was effected by way of a
scheme of arrangement.
Advised the management team of AIM quoted independent TV production
company, Shed Media plc, on their £99.9 million recommended
takeover of Shed Media backed by Warner Bros. Entertainment Inc.
and effected by way of a scheme of arrangement.
