Representative transactions

Clal Industries and Investments Limited

We advised Clal, one of Israel's leading investment holding groups, together with Harel Insurance Investments and Financial Services Limited, on their £39m acquisition of a subsidiary of Land Securities Plc whose principal asset was a commercial property at 22 Kingsway, London.

Delek Group Limited

We advised Delek Motorway Services, part of the Delek Group, one of the largest Israeli investment holdings groups, on its £375 million acquisition of the Roadchef Group.

Eden Springs Limited

We advised Eden Springs Limited on the investment by Och Ziff Capital Management Group in The Springs of Eden BV, comprising €61 million in equity (with potential for a further €13 million) and €20 million in convertible debt, valuing The Springs of Eden BV at €218 million.

El-Ad Group Limited

We advised a subsidiary of El-Ad Group, a leading global real estate company, on a loan facility made available to that company by Bank Leumi in connection with its acquisition of a landmark building in Berlin.

Harel Insurance Investments and Financial Services Limited and Menorah Mivtachim Holdings Limited

We advised Harel and Menorah, two of Israel's largest insurance and pensions groups, on their joint venture and purchase of the Aviva International Insurance building from Telereal Trillium.

NICE Systems Ltd

We advised NICE Systems Ltd, a global leader in intent-based solutions, on its $80m acquisition of the Fizzback Group, a leading provider of 'voice of the customer' services.

Telit Communications PLC

We advised Telit Communications PLC, a global leader in the field of machine-to-machine communications, on a cash placing comprising approximately 36.5% of its issued share capital, raising approximately £5.3 million.

We also advised Telit on a further cash placing comprising approximately 23.6% of its issued share capital, raising approximately £19 million, in order to fund an acquisition of the business and assets of Motorola's Israel-based m2m modules division.
